Am Donnerstag, 13. Juni 2019, fand das 14. Corporate Governance Working Breakfast an der Frankfurt School of Finance & Management statt. Thema der Veranstaltung war die Reform des Deutschen Corporate Governance Kodex.
Die neue Fassung des Kodex der Regierungskommission Deutscher Corporate Governance Kodex bringt wesentliche Änderungen mit sich, bestehend aus der Verschlankung des Kodex, der Vereinfachung der CG-Berichterstattung sowie neuen Regelungen zu Vorstandsvergütung, Overboarding und Unabhängigkeit. Aus Investorensicht besteht Nachbesserungsbedarf in der Betonung von Nachhaltigkeitszielen sowie der Verbindlichkeit und Rolle des Hauptversammlungsvotums.
Michael Schmidt, Vorsitzender der DVFA Kommission Governance & Stewardship und Vorstandsvorsitzender & Chief Investment Officer der Lloyd Fonds AG, hielt einen Impulsvortrag zum Thema. Die anschließende Diskussion legte den Fokus auf internationale Best Practices, den Einfluss von Stimmrechtsberatern und der Investorendialog.
Die Veranstaltungsreihe wird von Prof. Dr. Julia Redenius-Hövermann, Professorin für Bürgerliches Recht und Unternehmensrecht an der Frankfurt School, und Sabrina Biedenbach, Board Office Biedenbach, organisiert und bietet eine Plattform für den Austausch zu aktuellen Themen im Bereich Corporate Governance.
