2. TERMS OF REFERENCE (TOR)
2.1 Background
Launched at COP27 by the Vulnerable Twenty (V20) Group and the Group of Seven (G7), the Global Shield against Climate Risks (GS) aims to increase protection for vulnerable people and countries and contribute to effectively responding to loss and damage from climate change. The Global Shield promotes an inclusive, gender-responsive and demand-driven process, which is led by the vulnerable countries’ governments (https://www.globalshield.org/).
The Global Shield Secretariat serves as the backbone of the overall initiative, supports the governanve structure, coordinates with financing and technical partners, facilitates knowledge management and tracks progress in achieving the objectives of the Global Shield against Climate Risks. After being co-hosted by GIZ and UNU-VIE from 2022-2025, the Secretariat transitioned to the Frankfurt School of Finance & Management (FS) as its new host in January 2026. This transition creates both an opportunity and a need to review the current governance structure, clarify and redefine roles and
responsibilities of the different governing bodies, and incorporate lessons learned from the implementation of the initiative so far into a streamlined setup.
The process will be supported by a Governance Task Force with key representatives of donor agencies and the V20, to develop a first proposal on delineation of roles and responsibilities as well as acknowledgement of funding decisions in GS governance for Board approval in June 2026. In a second step, the review will also include the broader governance structure and processes, such as the Coordination Hub and Technical Advisory Group.
FS is looking for a facilitator to support the Secretariat and the Task Force in the review of the current Global Shield governance structure, design of a new governanve proposal and its implementation. The facilitator shall support a structured review process, provide inputs on a new governance proposal and facilitate discussions or meetings with key stakeholers and Board members, if needed. The Governance review is part of an ambitious Roadmap of the new Secretariat at Frankfurt School.
The facilitator shall mainly support the team with the design and facilitation of quarterly strategic team check-in meetings to reflect on progress against the Roadmap and its KPIs, team roles and responsibilities and collaborations with key partners and stakeholders, and support the further development and adaptation of the Roadmap for the years 2026-2028.
2.2 Objectives
The objectives of this assignment are is to
- Engage an experienced facilitator to design, deliver, and evaluate up to 2 team workshops.
- Facilitate GS governance review and support as needed througout the proposal development and approval process.

For the contracting period from the 20.04.2026 to 31.03.2027, the contractor will submit a timeline with milestones to be achieved by certain dates during the contract term. Any delays, or inability to fulfil such milestones must be communicate immediately to the FS.
2.4 Duration & Location
- Duration: The facilitator will be engaged for a total of 13 working days: ~ 7 days to facilitate the governanve review, ~ 6 days workshop preparation, facilitation and reporting
- Location: The workshops will take place in April 2026 and November 2026 (dates tbc) at the Frankfurt School for Finance & Management at Frankfurt am Main. The facilitation on Governance Review will be remote, all meetings virtual.
2.5 Reporting & Supervision
- Reports to: Global Shield Secretariat Team Lead
- Technical inputs and contributions to governance review documents (background document on governance issues, governance proposal, revised charter and organogram, Board preparations)
- Final workshop reports submission
- Submission format for deliverables: PDF, PowerPoint
2.6 Eligibility Criteria
Your profile:
Education:
- A minimum of a Master’s degree or equivalent in Master’s in Psychology, Human Resources or Training & Development, MBA, Masters in Communications, or related field.
Experience:
- At least 15 years of professional experience in coaching, facilitation, organizational behavior, leadership.
- Experience in designing governance frameworks and decision-making processes, and conducting governance reviews, institutional assessments, or organizational effectiveness reviews for international initiatives or organizations.
- Strong analytical experience assessing governance performance, including roles, mandates, accountability arrangements, and coordination mechanisms, and translating complex governance issues into clear findings and practical recommendations.
- Proven ability to engage effectively with governance bodies, senior leadership, and policymakers from diverse institutional and cultural backgrounds.
- Experience with managing team transitions, organizational change, team development and group dynamics, as well as mediation skill. Extensive experience in supporting teams with workplanning, capability assessment, strategic alignment and visioning workshops.
- Hands-on experience in the design and facilitation of multi-stakeholder meetings involving complex international organisations and projects , with an advanced ability to facilitate participation in team work in such settings;
- Good understanding of development finance field, multi-donor programs, complex project structures and stakeholder expectations.
- Excellent track record in coaching high- performing multinational teams.
Language:
- Excellent writing, editing, and oral communication skills in English.
