This module presents in detail the core tasks that prospective partners need to jointly conduct during a Partnering project: Operating model development, business planning and governance systems design. After describing how to jointly develop the target operating model for a partnership. Module 2 presents by Partnering structure modes of contributions as well as exit options and their implications. Further, Module 2 presents how to translate the target operating model of a partnership into a joint business plan and how earnings from a partnership may be distributed according to the relative value of the partners’ contributions.It also presents the decisions bodies to govern a partnership. After discussing the role and responsibilities of the Supervisory Board in a partnership Module 2 describes mechanism to resolve conflicts as well as implications of management control.

Module 3 presents in detail the major phases that all Partnering projects have in common: the Term Sheet Phase, Due Diligence Phase and Finalization Phase. The module describes how to jointly specify the key elements of a prospective partnership in a Term Sheet. Further Module 3 outlines how to validate a prospective partnership during the Due Diligence Phase. This module illustrates key areas of a mutual Due Diligence, as well as the role of Data Request List, Electronic Data Room, and other information sources in order to develop a Due Diligence report. Module 3 also presents how to convert the Term Sheet into a Partnering Contract as well as how to complete launch preparation during the Finalization Phase.
